Paralegal - Corporate & Commercial

We are seeking a skilled and experienced Paralegal with a Corporate/Commercial focus to join our legal team based in London lead by our Chief Legal Officer. 

This role is crucial in providing administrative support to the business and Executive team, and we are looking for someone who is flexible, willing to learn, ready to roll up their sleeves and hit the ground running, and who can build key relationships across the business.  This role is very visible to members of our Executive team, and the ability to engage and demonstrate commitment to what Forterro seeks to achieve is pivotal. 

We operate a hybrid working environment; we expect employees who are based in London to be working in the office ideally twice a week.

Responsibilities

  • Maintaining corporate records for the entities within the Forterro® group, including responsibility for preparing Companies House filings in the UK,  preparation of corporate resolutions, including board of director / registered office changes, working with Finance teams to file annual accounts and reports, and keeping the Forterro® group company registers up to date  (including liaising with local teams in other jurisdictions where Forterro® is incorporated to do the same). 
  • Managing internal signing processes and coordinating signatures for documents.
  • Where required, assisting with obtaining notarised/legalised documents in other jurisdictions outside the UK. 
  • Coordinating KYC resources and working with M&A deal teams and Finance teams to satisfy KYC requirements for corporate or financial transactions. Ensuring all KYC resources remain up to date internally. 
  • Assisting with corporate entity formations, and/or liaising with external counsel where required to incorporate new entities in the Forterro® group.
  • Managing and maintaining a suite of standard contract templates used in the business (including but not limited to SaaS agreements, software licences, MSAs and SOWs, DPAs, partner agreements, etc.) and providing ongoing support to ensure standard business templates are routinely reviewed and updated based on legal and/or business input.
  • Providing support with reviewing and revising standard commercial contracts, including customer and supplier contracts (under supervision or following established internal guidance or playbooks).
  • Assisting with contract negotiation processes by tracking comments, updating documents and coordinating with internal stakeholders (e.g., sales, product, finance teams). 
  • Reviewing and negotiating non-disclosure agreements for business contracts, as well as M&A processes.
  • Providing administrative support for documents and activities related to corporate board or constitutional changes, restructuring and reorganisation activities, including mergers and dissolutions.
  • Developing and maintaining internal file systems and processes and ensuring business resources are properly organised and accessible. 
  • Other general paralegal, organisational and administrative support for Finance, PX (‘HR’) and Legal teams as the need arises.

Skills, Knowledge & Expertise

  • Suitable applicants will have a strong academic background (a legal academic background is desirable but not essential, and candidates with significant hands-on corporate or commercial experience but without formal legal qualifications will also be considered).
  • In order to be considered, applicants will also have a minimum of 2-4 years’ experience of either:
    • prior paralegal experience amassed from a City law firm, or in-house legal function, or 
    • previous administrative experience, preferably at a major City organisation or professional services firm, in a corporate discipline, but with a willingness to learn and expand on scope of responsibility.
  • Proficiency in Microsoft Office Suite, DocuSign and Adobe/PDF is essential.
  • Proficiency in legal research and drafting legal documents.
  • Excellent organisational and communication skills.
  • Strong attention to detail and the ability to multi-task.
  • Ability to work proactively and well under pressure.
  • Must be able to self-manage and deal with conflicting priorities from different sources within the business, including in other non-UK jurisdictions.
This is a full-time role with a salary of up to £45-60k plus bonus, 30 days’ annual leave (in addition to bank holidays), private medical care, life assurance and employers’ stake holder pension.
